1. Payment Terms
Invoices are due upon receipt unless otherwise stated. Payment must be received by the due date listed on each invoice. A 5% late fee will be applied to any invoice not paid by the due date. Credit card payments are subject to the processing fee charged by Zoho Payments, which will be added to the final invoice total.

2. Scope of Work
Services provided by Sprout & Vine are based on the agreed-upon scope outlined in the proposal or statement of work. Any additional tasks, changes, or expanded needs requested by the client may result in revised fees and timelines. Work will not begin until written acceptance of the proposal is received.

3. Client Responsibilities
The client agrees to provide timely access to the information, systems, personnel, and documentation necessary for Sprout & Vine to perform services as outlined. Delays in receiving required information may impact the project timeline or cost.

4. Confidentiality
Sprout & Vine maintains strict confidentiality of all client information and documents. Information will not be shared with third parties unless required by law or with explicit client authorization.

5. Document Delivery & Ownership
All documents, SOPs, forms, trainings, and deliverables created by Sprout & Vine are the property of the client once project fees are paid in full. Sprout & Vine retains the right to reference non-identifiable work examples for portfolio or demonstration purposes.

6. Cancellation & Termination
Either party may terminate services with written notice. The client agrees to pay for all completed work, work in progress, and outstanding invoices up to the termination date.

7. SMS & Phone Communication Consent
By providing a phone number to Sprout & Vine, the client consents to receive SMS/text messages, including:

• Appointment reminders

• Project updates

• Requests for information

• Time-sensitive notifications related to services

Message frequency will vary based on project needs. Message and data rates may apply depending on the client’s mobile carrier. Clients may opt out of SMS communications at any time by replying “STOP.” Opting out does not affect the ability to receive email or phone communications.

8. Liability
Sprout & Vine provides advisory and consulting services based on industry standards, regulatory guidance, and best practices. Final decisions, implementation, and compliance obligations remain the responsibility of the client.

9. Acceptance of Terms

By engaging Sprout & Vine and submitting payment, signing a proposal, or providing written approval via email, the client acknowledges and agrees to these Terms & Conditions.
